The Home as a Hub for Health (H3) Competition Official Rules
The Home as a Hub for Health (‘H3’) competition (the “Competition”) sponsored by Well Living Lab, Inc.(“WLL”or “Sponsor”) and offered in collaboration with Healthcare Information and Management Systems Society, Inc. (“HIMSS”) is subject to these official rules (the “Official Rules”). By entering the Competition, you acknowledge that you understand, meet, and comply with all such Official Rules and agree to be bound by them. If you do not agree and accept all of these Official Rules, or you are not eligible to enter, please do not submit an entry in the Competition.
Each entrant to the Competition must be a legal registered entity, so if you are entering into the Competition on behalf of such an entity with which you are employed, engaged or otherwise associated (“Company”): (i) you agree that Company shall be bound by these Official Rules; (ii) you represent that you have the authority to bind Company to these Official Rules; and (iii) as used in these Official Rules, the term “you” or “your” refers to the Company identified in the information provided during the Competition submission process.
The Competition is hosted by HIMSS on behalf of Sponsor on the Idealy online platform, operated by HIMSS’ subsidiary, Healthbox. By agreeing to comply with these Official Rules, you also agree to any applicable terms and conditions and/or privacy notices presented by Healthbox in connection with your use of the Idealy platform.
1. Time Periods
The Competition begins on July 6, 2022 and ends on September 9, 2022 (the “Competition Period”). Upon closing of the Competition Period, the judging process will commence and the winner will be announced September 16, 2022.
2. Eligibility and Ineligibility
The Competition is open to any legal entity that is registered in at least one jurisdiction; provided that the following entities and businesses are not eligible for the Competition:
Any business that is an affiliate of WLL, including its affiliate Delos Living LLC (“Delos”), or HIMSS, including its affiliate Healthbox. For purposes of clarity, HIMSS members can participate in the Competition.
Current WLL Alliance Members and their affiliates.
Any business registered in, or doing any business in, any United States embargoed country.
The Competition is subject to all applicable state, federal and local laws and regulations and is void where prohibited by law.
Each entrant who submits an entry that meets the eligibility requirements for the Competition is referred to herein as an “Entrant”.
3. Submitting an Entry
To submit an entry into the Competition, interested entrants must submit an entry on the Competition website, hosted on the Idealy platform. Only one entry is permitted for any Company. All submissions must be in English.
4. Judging
All Entrant submissions will be evaluated by a panel of judges comprised of members from the WLL, Delos, and HIMSS executive teams. WLL, Delos, and HIMSS are referred to collectively herein as the “Reviewing Parties.”
All decisions of the Judges shall be final and binding on all matters relating to the Competition.
5. Criteria
Each submitted entry will be evaluated based on the following criteria:
Novelty: How innovative is the Entrant’s proposed solution? Does it offer a novel approach to help improve human health in the home environment?
Simplicity: How easily can the proposed solution be deployed, installed, and used?
Agility and Adaptability: Does the Entrant use the latest applicable technology? Can the technology integrate seamlessly with other systems?
Credibility and Maturity: Is the Entrant’s company sufficiently mature? Has the proposed solution been sufficiently vetted and evaluated?
6. Prize
The Judges will select one winner (the “Winner”), who will be awarded the following prizes
A complimentary three-year WLL Alliance Sustaining Membership for the Winner; and
A complimentary one-year HIMSS individual Membership for up to four (4) of the Winner’s employees and one (1) complimentary registration to HIMSS23 Global Health Conference & Exhibition held April 17-21, 2023 in Chicago, IL.
By entering the Competition, each Entrant acknowledges and agrees that neither participation in the Competition nor selection as the Winner shall create any obligation on any of the Reviewing Parties to enter into any a business relationship or any commercial agreement with the Winner. Notwithstanding the foregoing, receipt of each prize is subject to the Winner (or its employees, as applicable) agreeing to any applicable WLL or HIMSS membership agreement or terms or conditions (other than the applicable membership agreements referenced above).
7. Prize Conditions
Each prize will be awarded in the name of the Winner (or its employees, as applicable) if the Winner is verified as being an eligible winner in accordance with these Official Rules.
The Winner will be notified by e-mail. Sponsor is not responsible for any change of Entrant’s email address or if Entrant ‘s email address provided as part of its entry is not active or usable after the Winner has been determined or when Sponsor attempts to send an email to the Winner.
Prizes are non-transferable, and may not be substituted, except in Sponsor’s sole discretion. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute another prize of equal or greater value. Non-cash prizes may not be redeemed for cash.
If a potential winner fails to complete, sign, and return any requested documents within the designated time period, if a prize or prize notification is returned as undeliverable, if a potential winner fails to comply with any of the Official Rules, or if a potential winner is determined to be ineligible for any reason, the prize may be forfeited and awarded to an alternate, in Sponsor’s sole discretion.
Sponsor reserves the right at its sole discretion, to disqualify any Entrant who takes part or attempts to take part in the Competition by any means contrary to the terms of these Official Rules and in such a way that presents an unfair advantage over other Entrants (such as, by tampering or computer hacking).
Any taxes on prizes are the sole responsibility of the Winner.
8. Warranty
By registering and participating in the Competition, each Entrant represents and warrants that:
All information in its submission to the Competition is true and complete to the best of its knowledge;
The Entrant’s solution is compliant with all laws and regulations; and
The Entrant’s solution as featured in its submission and all related intellectual property presented by Entrant during the Competition is the original work of Entrant and does not infringe upon or violate any rights, including without limitation, any intellectual property or privacy rights, of any third party.
9. Intellectual Property and Confidentiality
Each Entrant will retain all intellectual property rights to the contents of their submission. By entering the Competition, each Entrant grants the Reviewing Parties a non-exclusive, perpetual, worldwide, royalty-free, irrevocable, transferable, sub-licensable, and assignable license to reproduce, copy, distribute, modify and use the content of Entrant’s submission to the Competition as the Reviewing Parties determine, in their reasonable discretion, is necessary or desirable for purposes of evaluating the submission and carrying out the Competition as described herein.
The Reviewing Parties offer no promise or guarantee of confidentiality, either explicit or implicit, in connection with any information presented or discussed by any Entrant throughout such Entrant’s participation in the Competition. The Reviewing Parties will not enter into any confidentiality or non-disclosure agreement with an Entrant in connection with its participation in the Competition.
Each Entrant agrees that, if it is selected as the Winner, WLL and its affiliates may use such Entrant’s name (including the Company name and the name of the individual submitting an entry and any other individuals identified in the entry), Company logo, and any other information submitted as part of the Competition entry, in connection with the promotion of the Competition, in perpetuity, in any media or format worldwide, and without further authorization from or compensation to such Entrant.
10. Privacy
By entering this Competition, you acknowledge and agree that WLL will process any personal information that you provide in connection with your submission to and participation in the Competition for the purpose of administering the Competition, including, without limitation, to verify eligibility, conduct the Competition, send notifications regarding the Competition, and deliver prizes. You also acknowledge and agree that WLL may share your personal information with its affiliates, the Reviewing Parties and their respective service providers in connection with this Competition. All personal information will also be subject to the Delos privacy policy.
11. Release and Disclaimer
By submitting for theCompetition, each Entrant:
releases the Reviewing Parties, together with their affiliates and all of their respective officers, directors, employees, agents and representatives, as well as the Judges (collectively, the “Released Parties”) from and against any and all claims, losses, damages, expenses, and liabilities, arising out of Entrant’s participation in the Competition and/or acceptance, use or misuse of any prize; and
indemnifies, defends and holds harmless the Released Parties from and against any and all claims, losses, damages, expenses, and liabilities (including reasonable attorneys’ fees) arising out of or relating to Entrant’s submission to the Competition infringing upon or violating any rights, including without limitation, any intellectual property or privacy rights, of any third party.
THE RELEASED PARTIES ARE NOT RESPONSIBLE OR LIABLE FOR ANY INCOMPLETE, INCORRECT, FAILED, OR DELAYED TRANSMISSION OF YOUR SUBMISSION TO THE COMPETITION, INCLUDING, WITHOUT LIMITATION, INTERRUPTION OR DELAYS CAUSED BY EQUIPMENT, SOFTWARE OR WEBSITE MALFUNCTION OR OTHER TECHNICAL PROBLEMS.
12. Changes and Cancellation
Sponsor reserves the right to suspend, cancel, or modify the Competition without advance notice for any reason. Sponsor may modify these Official Rules to reflect any modifications to the Competition and any such changes will be effective immediately upon posting on the Competition website and/or by sending an email about the changed Official Rules to the email address you used to register for the Competition. Continued participation in the Competition after such notice will be deemed acceptance of such changes.
13. Immigration
Entrants (and their employees) who are not registered in the United States are responsible for obtaining any necessary visas and related immigration papers to attend any events in the United States relating to the Competition or the prize. Sponsor takes no responsibility for the immigration status of any Entrants or their employees.
14. Governing Law
All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of Entrant and Sponsor in connection with the Competition, shall be governed by, and construed in accordance with, the substantive laws of the State of New York without regard to Illinois conflicts of law principles. All entrants consent to the exclusive jurisdiction and venue of New York County, New York for any litigation arising from the Competition or these Official Rules.
